4. Legal Bases for Processing (GDPR)

5. How We Share Your Information
5.1 With Platform Participants
- Candidates to Firms: Profile shared only when Match Score ≥70% and you apply or consent to referral
- Referrers to Firms/Candidates: Name, credentials, relationship description, endorsements
- Firms to Candidates: Job details, company information, application status updates
5.2 Third-Party Service Providers
We share data with processors under written agreements requiring confidentiality and security:
- Stripe: Payment processing, escrow management (https://stripe.com/privacy)
- Cloud Hosting: AWS, Google Cloud, Vultr or Azure for infrastructure

- Support Tickets: 5 years (dispute resolution)
- Security Logs: 3 years (incident investigation)
You may request earlier deletion, subject to legal and contractual obligations.
8. Data Security

Why This Doesn't Require Opt-In:
- Necessary for performing our contract (matching service)
- Does not produce legal effects or similarly significantly affect you
- Final hiring decisions made by human recruiters, not AI
- Scores below 70% don't prevent direct applications
- System designed to expand opportunities, not restrict them
Your Rights:
- Request human review of any Match Score

1. Agreement to Terms
These Terms of Service for Candidates ("Terms") constitute a legally binding agreement between you ("Candidate," "you," or "your") and Webcite Technology Systems Ltd, trading as ReferCPA ("ReferCPA," "we," "us," or "our").
By creating a Candidate account, accessing the Platform at refercpa.com or app.refercpa.com, or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
Eligibility: You must be at least 18 years of age and legally authorized to work in the jurisdiction where you seek employment. By using the Platform, you represent and warrant that you meet these requirements.
2. The ReferCPA Platform
2.1 Service Description
ReferCPA is an AI-powered referral hiring platform connecting accounting, audit, and tax professionals (Candidates) with hiring firms through trusted peer referrals. Our services include:
- Creating a professional profile showcasing your qualifications
- AI-powered matching with relevant job opportunities
- Receiving referrals from practicing professionals in the accounting community
- Applying to roles posted by accounting and CPA firms
- Participating in video interviews and assessments
- Tracking application status through your dashboard
2.2 No Employment Relationship
ReferCPA is a platform facilitating connections between Candidates and Firms. We are not:
- Your employer or agent
- A staffing agency or employment agency
- A party to any employment contract between you and a Firm
- Responsible for hiring decisions, employment terms, or workplace conditions
Any employment relationship is solely between you and the hiring Firm.
2.3 No Guarantee of Placement
We do not guarantee that you will:
- Receive referrals or job opportunities
- Be matched with roles
- Be selected for interviews
- Receive job offers
- Be hired by any Firm
Job opportunities depend on your qualifications, market demand, Firm preferences, and other factors beyond our control.
3. Account Registration and Profile
3.1 Account Creation
To use the Platform, you must create an account by providing:
- Full legal name
- Valid email address
- Secure password
- Professional information (work experience, qualifications, certifications)
You may optionally provide:
- Resume or CV
- Professional headshot
- Salary expectations
- Career preferences and location
3.2 Account Accuracy and Truthfulness
You represent and warrant that all information you provide is:
- Accurate: True and correct to the best of your knowledge
- Complete: Not omitting material information
- Current: Updated promptly when circumstances change
- Yours: You have the right to provide this information
Prohibited Conduct:
- Providing false, misleading, or fraudulent information
- Misrepresenting qualifications, certifications, or work experience
- Using another person's identity or credentials
- Fabricating employment history or educational background
- Claiming certifications you do not hold (CPA, CA, ACCA, etc.)
Consequences: Violation may result in immediate account termination, removal from the Platform, and potential legal action. Firms may rescind job offers if misrepresentations are discovered.
3.3 Account Security
You are responsible for:
- Maintaining confidentiality of your password
- All activities occurring under your account
- Notifying us immediately of unauthorized access (hello@refercpa.com)
Security Recommendations:
- Use a strong, unique password (minimum 12 characters)
- Enable multi-factor authentication (MFA)
- Do not share your login credentials
- Log out after each session on shared devices
We are not liable for losses resulting from unauthorized account use if you fail to maintain security.
3.4 Account Ownership
Your account is personal and non-transferable. You may not:
- Sell, transfer, or assign your account to another person
- Allow others to use your account
- Create multiple accounts for the same individual
4. AI Matching and Profile Visibility
4.1 AI Match Score System
Our proprietary AI algorithm calculates a Match Score (0-100%) between your profile and each job posting based on:
- Skills and technical competencies
- Experience relevance and seniority
- Qualifications and certifications
- Location and work arrangement preferences
- Compensation alignment
- Career trajectory fit
4.2 70% Match Threshold
Privacy Protection: Your profile is shared with a Firm only if:
- Your Match Score for a specific role is 70% or higher, AND
- You apply directly to the role, OR
- You consent to a referral for that role
Below Threshold: If your Match Score is below 70%, your profile is not automatically shared with the Firm. However, you may still:
- Apply directly to the role (your application will be reviewed)
- Request a Referrer to introduce you regardless of score
- Improve your profile to increase future Match Scores
4.3 Profile Sharing and Consent
When you apply to a role or accept a referral, you consent to sharing:
- Your name, contact information, and location
- Professional qualifications, certifications, and work experience
- Resume/CV and application materials
- Match Score and AI-generated compatibility assessment
- Salary expectations and availability
- Referrer identity (if referred) and relationship description
- Video interview responses (if required by the role)
Control: You control which roles you apply to and which referrals you accept. You may decline referrals without penalty.
4.4 Human Review of Match Scores
You have the right to request human review of any Match Score. To request review:
- Email hello@refercpa.com with "Match Score Review Request"
- Include the role ID and your concerns
- Provide additional context or qualifications not reflected in your profile
A senior recruiter will review your profile within 7 business days and provide a detailed explanation. If inaccuracies are identified, your profile will be corrected and the score recalculated.
4.5 Profile Optimization
We may offer optional AI-powered profile enhancements, including:
- Skills extraction from your resume
- Profile completion suggestions
- Public data enrichment (LinkedIn, professional directories)
- Competency assessments
These enhancements require your explicit consent and can be disabled at any time in account settings.
5. Referrals
5.1 Receiving Referrals
Referrers (practicing accounting professionals) may refer you to roles on the Platform. When referred:
- You receive a notification with role details and Referrer identity
- You may accept or decline the referral
- Accepting shares your profile with the Firm
- Declining does not affect your account or future opportunities
5.2 Referrer Relationship
You acknowledge that:
- Referrers earn a bounty (30% of placement fee) if you are hired
- Referrers may have professional or personal relationships with you
- Referrers are not ReferCPA employees or agents
- ReferCPA does not control or verify the accuracy of Referrer endorsements
You are responsible for disclosing any conflicts of interest or inappropriate referral arrangements to the Firm.
5.3 Self-Referrals
You may apply to roles without a Referrer (self-referral). If hired through self-referral, you may be eligible for a self-referral bonus (if offered by ReferCPA at our discretion).
Prohibited: Creating fake Referrer accounts to refer yourself or colluding with others to manipulate referrals. Violations result in immediate account termination and forfeiture of any bonuses.
6. Applications and Interviews
6.1 Application Process
When you apply to a role:
- Your profile is shared with the Firm
- The Firm reviews your application
- You receive status updates via email and dashboard
- The Firm may contact you directly for interviews
Application Etiquette:
- Apply only to roles you are genuinely interested in and qualified for
- Respond promptly to Firm communications
- Be professional and courteous in all interactions
- Notify the Firm immediately if you are no longer interested
6.2 Video Interviews
Some roles require video interview responses. By recording a video interview, you consent to:
- Recording and storage of your video, audio, and image
- Sharing the video with the Firm for the specific role
- Retention of the video for 90 days after application closure
- Optional AI analysis of communication skills (with separate consent)
Your Rights:
- Request deletion of your video at any time
- Withdraw consent for AI analysis (video retained but analysis deleted)
- Receive a copy of your video upon request
Video Guidelines:
- Record in a quiet, well-lit environment
- Dress professionally
- Be honest and authentic
- Do not include confidential information from current employer
6.3 Background Checks and Verification
Firms may request:
- Verification of certifications and licenses
- Employment history verification
- Educational credential verification
- Background checks (criminal, credit, etc.)
Your Consent Required: We or the Firm will obtain your explicit written consent before conducting background checks, as required by the Fair Credit Reporting Act (FCRA) and equivalent laws.
Your Rights:
- Receive pre-adverse action notice if background check reveals disqualifying information
- Opportunity to dispute inaccurate information
- Copy of background check report upon request
You may decline background checks, but the Firm may withdraw your candidacy as a result.
7. Offers and Employment
7.1 Employment Terms
All employment terms (salary, benefits, start date, job duties, etc.) are negotiated directly between you and the Firm. ReferCPA is not a party to these negotiations and has no control over:
- Compensation offered
- Benefits provided
- Employment conditions
- Workplace policies
- Termination or resignation
7.2 Offer Acceptance
If you receive and accept a job offer:
- Notify ReferCPA by updating your application status to "Offer Accepted"
- Provide the start date and base annual salary (required for bounty calculation)
- This information is used to process Referrer payments and replacement guarantees
Confidentiality: Salary information is kept confidential and shared only with the Referrer (for bounty calculation) and internally for payment processing.
7.3 Replacement Guarantee (3 Months)
Firms receive a 3-month replacement guarantee. If you:
- Voluntarily resign within 3 months of start date
- Are terminated for cause within 3 months
- Fail to start employment after accepting an offer
The Firm may request a replacement candidate at no additional fee. This does not affect you directly, but you agree to provide accurate start date and employment status information to facilitate this guarantee.
7.4 Post-Placement Obligations
After being hired, you agree to:
- Confirm your start date and employment status when requested
- Notify ReferCPA if you do not start or leave within 3 months (for replacement guarantee purposes)
- Provide feedback on your experience (optional but appreciated)
No Non-Compete: These Terms do not impose any non-compete obligations. You are free to seek other employment opportunities at any time.
8. Fees and Payments
8.1 No Candidate Fees
ReferCPA is free for Candidates. You do not pay any fees to:
- Create an account
- Build your profile
- Receive referrals
- Apply to jobs
- Be matched with opportunities
- Accept job offers
8.2 Firm Payment Model
Firms pay ReferCPA a placement fee (10% of your base annual salary) when you are hired. This fee is paid by the Firm, not deducted from your compensation.
8.3 Self-Referral Bonus (If Applicable)
If you are hired through self-referral (no Referrer involved), ReferCPA may, at our sole discretion, offer you a self-referral bonus. Terms of any bonus will be communicated separately and are subject to:
- Successful completion of probationary period
- Continued employment for specified duration
- Compliance with these Terms
Bonuses are not guaranteed and may be modified or discontinued at any time.
9. Candidate Conduct and Prohibited Activities
9.1 Professional Conduct
You agree to:
- Conduct yourself professionally in all interactions with Firms, Referrers, and ReferCPA
- Communicate honestly and respectfully
- Honor commitments (interview attendance, offer acceptance)
- Comply with all applicable laws and regulations
9.2 Prohibited Activities
You may not:
Misrepresentation:
- Provide false, misleading, or fraudulent information
- Misrepresent qualifications, experience, or credentials
- Use fake or stolen identities
- Claim certifications you do not hold
Abuse and Manipulation:
- Create multiple accounts for the same individual
- Manipulate Match Scores through false information
- Collude with Referrers to create fraudulent referrals
- Accept offers with no intention of starting employment (to generate referral fees)
- Use the Platform for purposes other than genuine job seeking
Harmful Conduct:
- Harass, threaten, or abuse Firms, Referrers, or ReferCPA staff
- Discriminate based on protected characteristics
- Violate confidentiality or non-disclosure obligations to current employers
- Share proprietary or confidential information from current employers
Technical Abuse:
- Use bots, scrapers, or automated tools to access the Platform
- Attempt to hack, breach, or compromise Platform security
- Reverse engineer or decompile Platform software
- Introduce viruses, malware, or malicious code
Intellectual Property Violations:
- Upload content you do not have rights to (plagiarized resumes, stolen photos)
- Infringe copyrights, trademarks, or other intellectual property rights
- Use ReferCPA branding or trademarks without authorization
9.3 Consequences of Violations
Violations may result in:
- Warning and opportunity to cure
- Temporary account suspension
- Permanent account termination and ban from Platform
- Forfeiture of bonuses or benefits
- Legal action and pursuit of damages
- Reporting to professional licensing boards (for credential fraud)
- Cooperation with law enforcement (for criminal activity)
We reserve the right to investigate violations and take appropriate action at our sole discretion.
10. Intellectual Property
10.1 ReferCPA Intellectual Property
The Platform, including all content, features, functionality, software, algorithms, designs, logos, and trademarks, is owned by Webcite Technology Systems Ltd and protected by copyright, trademark, patent, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal job-seeking purposes only.
You may not:
- Copy, modify, distribute, or create derivative works
- Reverse engineer or decompile software
- Remove copyright or proprietary notices
- Use ReferCPA branding without written permission
10.2 Your Content
You retain ownership of content you upload (resume, CV, profile information, video interviews, etc.). By uploading content, you grant ReferCPA a worldwide, non-exclusive, royalty-free, transferable license to:
- Store, process, and display your content on the Platform
- Share your content with Firms and Referrers as authorized by you
- Use your content to improve AI algorithms and Platform features (in anonymized form)
- Create derivative works for matching and assessment purposes
Your Representations: You represent and warrant that:
- You own or have rights to all content you upload
- Your content does not infringe third-party intellectual property rights
- Your content does not violate any laws or these Terms

10.3 Feedback and Suggestions
If you provide feedback, suggestions, or ideas about the Platform, you grant ReferCPA an unrestricted, perpetual, royalty-free right to use, implement, and commercialize such feedback without compensation or attribution.
11. Privacy and Data Protection
11.1 Privacy Policy
Our collection, use, and protection of your personal information is governed by our Privacy Policy, incorporated into these Terms by reference. By using the Platform, you consent to our Privacy Policy.
11.2 Data Accuracy
You are responsible for ensuring your profile information is accurate and current. Inaccurate information may result in:
- Incorrect Match Scores
- Missed opportunities
- Firm dissatisfaction
- Account suspension
Update your profile immediately when circumstances change (new certification, job change, relocation, etc.).
11.3 Data Retention
We retain your data as described in our Privacy Policy:
- Active account: Retained while account is active
- After account deletion: Retained for 3 years for legal compliance, dispute resolution, and replacement guarantee obligations
You may request earlier deletion, subject to legal and contractual requirements.
11.4 Communications
By creating an account, you consent to receive:
- Transactional communications: Application updates,referral notifications, account security alerts, payment confirmations (cannot opt out)
- Platform updates: Feature announcements, policy changes, service improvements (cannot opt out for material changes)
- Marketing communications: Newsletters, job alerts, promotional offers (opt-out available via unsubscribe link or account settings)
You may manage communication preferences in your account settings.
12. Disclaimers and Limitations of Liability
12.1 Platform Provided "As Is"
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Accuracy: We do not warrant that Match Scores, AI assessments, or profile enhancements are accurate or error-free
- Availability: We do not guarantee uninterrupted or error-free Platform access
- Results: We do not guarantee job placements, interviews, or referrals
- Third-Party Content: We do not warrant the accuracy of Firm job postings, Referrer endorsements, or third-party information
- Security: We do not guarantee that the Platform is completely secure or free from viruses or malicious code
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
12.2 No Liability for Employment Outcomes
ReferCPA is not responsible for:
- Hiring decisions made by Firms
- Employment terms, compensation, or benefits offered
- Workplace conditions, discrimination, or harassment
- Termination, resignation, or employment disputes
- Background check results or verification outcomes
- Referrer endorsements or recommendations
- Accuracy of Firm job postings or company information
Any disputes regarding employment are solely between you and the Firm.
12.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFERCPA, WEBCITE TECHNOLOGY SYSTEMS LTD, AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
Indirect Damages:
- Indirect, incidental, consequential, special, or punitive damages
- Lost profits, revenue, opportunities, or business
- Loss of data or information
- Reputational harm
- Emotional distress
Direct Damages Cap:
- Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the greater of: (a) $100 USD, or (b) amounts paid by you to ReferCPA in the 12 months preceding the claim (which is $0 for Candidates)
Exceptions:
- This limitation does not apply to liability that cannot be excluded by law (fraud, gross negligence, willful misconduct, death or personal injury)
- This limitation does not affect your statutory consumer rights under applicable law
12.4 No Liability for Third Parties
We are not liable for:
- Actions or omissions of Firms, Referrers, or other Candidates
- Third-party service providers (Stripe, cloud hosting, etc.)
- External websites linked from the Platform
- Data breaches caused by third-party vulnerabilities
- Unauthorized access resulting from your failure to maintain account security
12.5 Basis of the Bargain
You acknowledge that these disclaimers and limitations of liability are fundamental elements of the agreement between you and ReferCPA. The Platform is provided free to Candidates in reliance on these limitations. If you do not accept these limitations, do not use the Platform.
13. Indemnification
You agree to indemnify, defend, and hold harmless ReferCPA, Webcite Technology Systems Ltd, and our officers, directors, employees, agents, affiliates, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:
- Your violation of these Terms
- Your violation of any law, regulation, or third-party rights
- Your use or misuse of the Platform
- Content you upload or submit (resume, profile, video interviews)
- Misrepresentation of qualifications, experience, or credentials
- Your interactions with Firms, Referrers, or other Candidates
- Employment disputes between you and a Firm
- Infringement of intellectual property rights
- Fraud, negligence, or willful misconduct
Defense and Settlement: We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense. You may not settle any claim without our prior written consent.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts located in England or Wales (United Kingdom) for any disputes.
14.2 Informal Resolution
Before filing any formal dispute, you agree to contact us at hello@refercpa.com with a detailed description of the dispute and attempt to resolve it informally for at least 30 days.
14.3 Arbitration Agreement
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform (except small claims court matters under £10,000 and requests for injunctive relief) shall be resolved by binding arbitration administered under the Arbitration Act 1996 and the rules of the London Court of International Arbitration (LCIA).
Location and Language: Arbitration shall be conducted in London, England, in English, before a single arbitrator.
Class Action Waiver: You agree to arbitrate disputes on an individual basis only. You waive any right to participate in class actions, collective proceedings, or representative actions.
Costs: Each party shall bear its own legal costs and expenses. The arbitrator's fees and LCIA administrative fees shall be split equally between the parties, unless the arbitrator determines otherwise based on the merits.
Opt-Out: You may opt out of this arbitration agreement by sending written notice to hello@refercpa.com within 30 days of creating your account, stating "I opt out of the arbitration agreement." If you opt out, disputes shall be resolved exclusively in the courts of England and Wales.
Enforceability: If any portion of this arbitration agreement is found unenforceable, the remainder shall remain in effect, except that if the class action waiver is found unenforceable, this entire arbitration agreement shall be void.
14.4 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR MULTI-PARTY PROCEEDING.
You waive the right to participate in class actions, class arbitrations, or representative actions against ReferCPA.
Severability: If the class action waiver is found unenforceable, the arbitration agreement (if applicable) shall be void, and disputes shall be resolved in court.
14.5 Time Limitation
You must bring any claim arising from these Terms or your use of the Platform within one (1) year of the claim arising, or the claim is permanently barred.
15. Term and Termination
15.1 Term
These Terms commence when you create an account and continue until terminated by you or ReferCPA.
15.2 Termination by You
You may terminate your account at any time by:
- Using the account deletion function in account settings
- Emailing hello@refercpa.com with "Delete Account Request"
Effect of Termination:
- Your profile will be removed from Firm visibility immediately
- Active applications will be withdrawn
- Your data will be retained for 3 years as described in the Privacy Policy (for legal compliance and replacement guarantee obligations)
- You may request earlier deletion, subject to legal requirements
15.3 Termination by ReferCPA
We may suspend or terminate your account immediately, without notice, if:
- You violate these Terms
- You provide false or fraudulent information
- You engage in prohibited activities
- Your account is inactive for 2+ years
- We cease operations or discontinue the Platform
- Required by law or court order
Effect of Termination:
- Immediate loss of Platform access
- Withdrawal of active applications
- Forfeiture of any bonuses or benefits
- Continued application of Sections 9 (Prohibited Activities), 10 (Intellectual Property), 12 (Disclaimers), 13 (Indemnification), 14 (Dispute Resolution), and 16 (General Provisions)
15.4 No Refunds
Because the Platform is free for Candidates, no refunds apply. Any bonuses or payments owed to you at termination will be forfeited if termination is for cause.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReferCPA regarding the Platform and supersede all prior agreements, understandings, or representations.
16.2 Amendments
We may modify these Terms at any time by posting revised Terms on the Platform and updating the "Last Updated" date.
Material Changes: For material changes affecting your rights, we will provide at least 30 days' notice via email and/or prominent Platform notice.
Acceptance: Continued use of the Platform after changes become effective constitutes acceptance. If you object to changes, you must delete your account before the effective date.
16.3 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect. Invalid provisions will be modified to the minimum extent necessary to make them valid and enforceable.
16.4 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future. Waivers must be in writing and signed by an authorized ReferCPA representative.
16.5 Assignment
You may not assign, transfer, or delegate these Terms or your account without our prior written consent. We may assign these Terms to any successor entity (merger, acquisition, asset sale) without your consent.
16.6 Force Majeure
We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet/telecommunications failures.
16.7 Survival
Provisions that by their nature should survive termination shall survive, including Sections 9 (Prohibited Activities), 10 (Intellectual Property), 12 (Disclaimers), 13 (Indemnification), 14 (Dispute Resolution), and 16 (General Provisions).
16.8 Relationship of Parties
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and ReferCPA. You are an independent user of the Platform.
16.9 Third-Party Beneficiaries
These Terms do not confer any third-party beneficiary rights. Only you and ReferCPA may enforce these Terms.
16.10 Language
These Terms are provided in English. Translations may be provided for convenience, but the English version controls in case of conflicts or discrepancies.
16.11 Electronic Communications
You consent to receive communications from us electronically (email, Platform notifications, website postings). Electronic communications satisfy any legal requirement that communications be in writing.
16.12 Export Controls
You may not use the Platform if you are located in a country subject to U.S. embargo or trade sanctions, or if you are on any U.S. government list of prohibited or restricted parties.

1. Agreement to Terms
These Terms of Service for Companies ("Terms") constitute a legally binding agreement between the hiring entity ("Company," "Firm," "you," or "your") and Webcite Technology Systems Ltd, trading as ReferCPA ("ReferCPA," "we," "us," or "our").
By creating a Company account, posting jobs on the Platform at refercpa.com or app.refercpa.com, or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
Authority: By accepting these Terms, you represent that you have the authority to bind your organization to this agreement.
2. The ReferCPA Platform
2.1 Service Description
ReferCPA is an AI-powered referral hiring platform connecting accounting, audit, and tax professionals with hiring firms through trusted peer referrals. Our services include:
- AI-powered candidate matching with 70%+ compatibility scores
- Access to pre-vetted candidates referred by practicing accounting professionals
- Candidate profile database with skills, experience, and qualifications
- Application tracking and candidate management dashboard
- Video interview hosting and assessment tools
- Referral management and bounty payment processing
2.2 Platform Facilitation Only
ReferCPA is a technology platform facilitating connections between Companies and Candidates. We are not:
- An employer or co-employer of Candidates
- A party to employment contracts between you and Candidates
- Responsible for employment law compliance, workplace conditions, or employment disputes
- A guarantor of candidate performance, qualifications, or suitability
All hiring decisions, employment terms, and workplace matters are solely your responsibility.
2.3 No Guarantee of Results
We do not guarantee that you will:
- Receive applications from qualified candidates
- Hire any specific number of candidates
- Fill positions within a specific timeframe
- Achieve specific business outcomes from hires
Results depend on your job requirements, compensation offered, market conditions, and other factors beyond our control.
3. Account Registration and Company Profile
3.1 Account Creation
To use the Platform, you must create a Company account by providing:
- Legal entity name and trading name (if different)
- Business registration number and jurisdiction
- Primary contact person (name, title, email, phone)
- Business address and billing information
- Company size, practice areas, and hiring needs
3.2 Authorized Users
You may designate multiple users within your organization to access the account. You are responsible for:
- All activities of your authorized users
- Maintaining confidentiality of login credentials
- Immediately notifying us of unauthorized access
- Ensuring authorized users comply with these Terms
3.3 Account Accuracy
You represent and warrant that all information provided is accurate, complete, and current. You must update information promptly when circumstances change.
Prohibited:
- Providing false or misleading company information
- Misrepresenting your organization's identity, size, or legitimacy
- Using another company's identity without authorization
- Creating accounts for fraudulent purposes
4. Job Postings
4.1 Posting Jobs
You may post job openings for accounting, audit, and tax roles by providing:
- Job title and detailed description
- Required qualifications, certifications, and experience
- Location and work arrangement (on-site, remote, hybrid)
- Compensation range (salary, benefits)
- Role responsibilities and expectations
- Hiring timeline and urgency
4.2 Job Posting Standards
All job postings must:
- Be for legitimate, available positions within your organization
- Accurately describe the role, requirements, and compensation
- Comply with all applicable employment and anti-discrimination laws
- Not contain misleading, false, or fraudulent information
- Not discriminate based on protected characteristics (race, gender, age, religion, disability, etc.)
- Not violate third-party intellectual property rights
Prohibited Job Postings:
- Positions that do not exist or are not actually available
- Multi-level marketing, pyramid schemes, or commission-only roles disguised as employment
- Positions requiring illegal activities
- Postings designed to collect candidate data without genuine hiring intent
- Discriminatory job requirements or language
4.3 Job Posting Review
We reserve the right to:
- Review job postings before publication
- Request clarification or modification of postings
- Reject or remove postings that violate these Terms or applicable laws
- Remove postings at our sole discretion
Removal of a posting does not entitle you to a refund of any fees paid.
4.4 Job Posting Duration
Job postings remain active until:
- The position is filled and you mark it as closed
- You manually close or delete the posting
- 90 days have elapsed (auto-closure; you may reactivate if still hiring)
- We remove the posting for Terms violations
5. AI Matching and Candidate Access
5.1 AI Match Score System
Our proprietary AI algorithm calculates Match Scores (0-100%) between candidates and your job postings based on:
- Skills and technical competencies alignment
- Experience relevance and seniority level
- Qualifications and certifications match
- Location and work arrangement compatibility
- Compensation alignment
- Career trajectory fit
5.2 70+% Match Threshold
Candidate Privacy Protection: Candidate profiles are shared with you only if:
- The Match Score is 70% or higher for your specific role, AND
- The Candidate applies directly or consents to a referral for that role
This threshold ensures you receive only highly relevant candidates while protecting candidate privacy.
5.3 Candidate Profiles
When a Candidate applies or is referred to your role, you receive access to:
- Name, contact information, and location
- Professional qualifications, certifications, and work experience
- Resume/CV and application materials
- Match Score and AI-generated compatibility assessment
- Salary expectations and availability
- Video interview responses (if required by your role)
5.4 Candidate Data Use Restrictions
You agree to use Candidate data solely for evaluating candidates for the specific role to which they applied. You may not:
- Use Candidate data for purposes other than recruitment for the posted role
- Share Candidate data with third parties (except internal hiring team and background check providers)
- Add Candidates to marketing lists or contact them for non-recruitment purposes
- Retain Candidate data longer than necessary for recruitment and legal compliance
- Discriminate against Candidates based on protected characteristics
Data Protection: You must comply with all applicable data protection laws (GDPR, CCPA, PIPEDA, etc.) in your handling of Candidate data.
6. Payment Terms and Pricing
6.1 Payment Models
ReferCPA offers two payment options:
Option A: Pre-Pay with Escrow (8% Placement Fee)
- Placement Fee: 8% of the engaged Candidate's base annual gross salary
- Payment Timing: Pre-paid and held in escrow via Stripe before job posting goes live
- Escrow Period: Funds held until successful engagement or 12 weeks elapse, whichever occurs first
- Refund Eligibility: If no successful hire within 12 weeks, 80% of the placement fee is refunded; 20% retained as platform fee
Example: For a role with £50,000 annual salary:
- Placement Fee: £4,000 (8% of £50,000)
- Pre-paid and held in escrow
- If engaged within 12 weeks: £4,000 released to ReferCPA
- If no candidate engagement within 12 weeks: £3,200 refunded (80%); £800 retained (20%)
Option B: Pay After Placement (10% Placement Fee)
- Placement Fee: 10% of the hired Candidate's base annual gross salary
- Payment Timing: Invoice issued upon successful hire; payment due within 30 days
- No Escrow: No upfront payment required
- No Refund: Payment is due only upon successful hire; no refund provisions apply
Example: For a role with £50,000 annual salary:
- Placement Fee: £5,000 (10% of £50,000)
- Invoice issued after Candidate starts employment
- Payment due within 30 days of invoice date
- No refund (payment only triggered by successful hire)
6.2 Successful engagement Definition
A "successful engagement" occurs when any of the following happens:
- You extend a verbal or written offer of employment to a Candidate
- The Candidate accepts an offer from you, whether for temporary, contract, project or full time/part time employment
- The Candidate commences employment (first day of work)
Reporting Requirement: You must notify ReferCPA within 5 business days of a Candidate's start date and provide the base annual gross salary for fee calculation.
6.3 Payment Processing
Option A (Pre-Pay): Payment processed via Stripe at time of job posting. Escrow funds held securely and released upon hire or refund eligibility.
Option B (Pay After Placement): Invoice sent via email upon hire notification. Payment methods accepted:
- Bank transfer (ACH, wire, BACS)
- Credit card (via Stripe payment link)
Late Payment: Invoices unpaid after 30 days accrue interest at 1.5% per month (or maximum rate permitted by law) and may result in account suspension and collection action.
6.4 Salary Calculation
The placement fee is calculated on the Candidate's base annual gross salary only, excluding:
- Bonuses, commissions, or performance incentives
- Benefits (health insurance, retirement contributions, etc.)
- Equity, stock options, or profit sharing
- Relocation assistance or signing bonuses
- Overtime, per diem, or expense reimbursements
Hourly or Contract Roles: For hourly or contract positions, annual salary is calculated as: hourly rate × expected weekly hours × 52 weeks.
6.5 Multiple Hires
Each successful hire is a separate transaction subject to the applicable placement fee. If you hire multiple Candidates from the Platform, each hire incurs a separate fee based on that Candidate's salary and your chosen payment model.
6.6 Referrer Bounty
ReferCPA pays Referrers 30% of the placement fee upon successful hire. This is our obligation and does not affect your payment amount. You acknowledge that Referrers earn bounties for successful placements.
7. Replacement Guarantee (3 Months)
7.1 Guarantee Terms
If a hired Candidate:
- Voluntarily resigns within 3 months of their start date
- Is terminated for cause within 3 months
- Fails to start employment after accepting your offer
You are entitled to a replacement candidate at no additional placement fee for the same role.
7.2 Replacement Process
To request a replacement:
- Notify ReferCPA within 7 business days of the Candidate's departure or failure to start
- Provide documentation (resignation letter, termination notice, or evidence of no-show)
- Confirm the role is still available and requirements remain substantially the same
- We will reactivate your job posting and prioritize matching
Replacement Placement Fee: No additional fee for the replacement hire (original fee covers replacement).
7.3 Guarantee Exclusions
The replacement guarantee does NOT apply if:
- Termination is without cause (layoff, redundancy, restructuring)
- Candidate leaves due to your breach of employment terms (unpaid wages, hostile work environment, etc.)
- Role requirements change substantially from original posting
- You do not notify us within 7 business days
- Candidate was hired under Option A (Pre-Pay) and you have already received an 80% refund for no hire within 12 weeks
7.4 Refund Alternative (Option A Only)
For Option A (Pre-Pay) customers, if a Candidate leaves within 3 months, you may choose:
- Replacement candidate (as described above), OR
- Partial refund of 50% of the bounty
You must elect one option within 7 business days of the Candidate's departure. Both options are not available for the same hire.
Option B (Pay After Placement): Only replacement candidate option available (no refund, as payment already made).
8. Candidate Evaluation and Hiring
8.1 Your Hiring Responsibilities
You are solely responsible for:
- Evaluating Candidate qualifications, skills, and suitability
- Conducting interviews and assessments
- Verifying credentials, certifications, and work history
- Conducting background checks and reference checks (with Candidate consent)
- Making hiring decisions
- Determining employment terms (salary, benefits, start date, job duties)
- Complying with all employment laws (anti-discrimination, wage and hour, immigration, etc.)
No ReferCPA Liability: We do not verify Candidate qualifications, conduct background checks, or guarantee Candidate performance or suitability. All hiring risk is yours.
8.2 Background Checks and Verification
If you conduct background checks, you must:
- Obtain Candidate's explicit written consent
- Comply with Fair Credit Reporting Act (FCRA) and equivalent laws
- Provide pre-adverse action notice if background check reveals disqualifying information
- Allow Candidate opportunity to dispute inaccurate information
- Provide adverse action notice if you decline to hire based on background check
ReferCPA is not responsible for background check compliance. You may use third-party verification services at your own expense.
8.3 Interview Conduct
All interviews and candidate interactions must:
- Comply with employment and anti-discrimination laws
- Be professional, respectful, and non-discriminatory
- Focus on job-related qualifications and skills
- Avoid prohibited questions (age, marital status, religion, health, etc.)
Video Interviews: If you require video interviews, you must inform Candidates in the job posting and obtain consent before recording.
8.4 Offer and Onboarding
Employment offers and onboarding are your responsibility. You must:
- Provide written offer letters with clear terms
- Verify work authorization and right to work
- Provide onboarding and training
- Comply with all employment laws and regulations
9. Company Conduct and Prohibited Activities
9.1 Professional Conduct
You agree to:
- Conduct yourself professionally in all interactions with Candidates, Referrers, and ReferCPA
- Communicate honestly, respectfully, and promptly
- Honor commitments (interview scheduling, offer terms)
- Comply with all applicable laws and regulations
9.2 Prohibited Activities
You may not:
Misrepresentation:
- Provide false, misleading, or fraudulent company or job posting information
- Misrepresent compensation, benefits, or job requirements
- Post jobs for positions that do not exist or are not available
Candidate Data Misuse:
- Use Candidate data for purposes other than recruitment for the posted role
- Share Candidate data with unauthorized third parties
- Add Candidates to marketing lists without consent
- Retain Candidate data longer than legally required
Discrimination:
- Discriminate against Candidates based on race, color, religion, sex, national origin, age, disability, genetic information, sexual orientation, gender identity, or other protected characteristics
- Ask prohibited interview questions
- Make hiring decisions based on protected characteristics
Platform Abuse:
- Circumvent the Platform to hire Candidates directly without paying fees

Payment Evasion:
- Fail to report successful hires
- Misrepresent Candidate salaries to reduce fees
- Refuse to pay invoices for legitimate hires
- Abuse refund or replacement guarantee provisions
9.3 Consequences of Violations
Violations may result in:
- Warning and opportunity to cure
- Removal of job postings
- Temporary account suspension
- Permanent account termination and ban from Platform
- Forfeiture of refunds or replacement guarantees
- Legal action and pursuit of damages (including unpaid fees, interest, and attorneys' fees)
- Reporting to regulatory authorities
10. Intellectual Property
10.1 ReferCPA Intellectual Property
The Platform, including all software, algorithms, designs, logos, and trademarks, is owned by Webcite Technology Systems Ltd and protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for recruitment purposes only.
You may not:
- Copy, modify, distribute, or create derivative works
- Reverse engineer or decompile software
- Use ReferCPA branding without written permission
- Remove proprietary notices
10.2 Your Content
You retain ownership of job postings and company information. By posting content, you grant ReferCPA a worldwide, non-exclusive, royalty-free license to:
- Display your job postings on the Platform
- Share your job postings with Candidates and Referrers
- Use your company name and logo to promote the Platform (with your consent)
- Analyze job posting data to improve AI matching algorithms (in anonymized form)
Your Representations: You represent and warrant that:
- You own or have rights to all content you upload
- Your content does not infringe third-party intellectual property rights
- Your content does not violate any laws or these Terms
10.3 Feedback
If you provide feedback or suggestions about the Platform, you grant ReferCPA an unrestricted, perpetual, royalty-free right to use, implement, and commercialize such feedback without compensation or attribution.
11. Privacy and Data Protection
11.1 Privacy Policy
Our collection, use, and protection of personal information is governed by our Privacy Policy, incorporated into these Terms by reference.
11.2 Data Controller Responsibilities
You are a data controller for Candidate personal data you receive through the Platform. You must:
- Comply with all applicable data protection laws (GDPR, CCPA, PIPEDA, UK Data Protection Act, etc.)
- Implement appropriate security measures to protect Candidate data
- Process Candidate data only for legitimate recruitment purposes
- Respond to Candidate data subject rights requests (access, deletion, correction)
- Maintain records of processing activities
- Report data breaches to appropriate authorities and affected Candidates
11.3 Data Processing Agreement
Upon request, we will execute a Data Processing Agreement (DPA) with you to comply with GDPR Article 28 requirements. Contact hello@refercpa.com to request a DPA.
11.4 Data Retention
You must:
- Retain Candidate data only as long as necessary for recruitment and legal compliance
- Delete Candidate data when no longer needed (typically within 6-12 months after position filled)
- Comply with Candidate deletion requests (subject to legal retention requirements)
12. Disclaimers and Limitations of Liability
12.1 Platform Provided "As Is"
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Candidate Quality: We do not warrant that Candidates are qualified, suitable, or will perform satisfactorily
- Match Accuracy: We do not guarantee that Match Scores are accurate or that matched Candidates will meet your needs
- Availability: We do not guarantee uninterrupted or error-free Platform access
- Results: We do not guarantee successful hires, time-to-hire, or business outcomes
- Third-Party Content: We do not warrant the accuracy of Candidate information, Referrer endorsements, or third-party data
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
12.2 No Liability for Candidates or Employment
ReferCPA is not responsible for:
- Candidate qualifications, credentials, or work history accuracy
- Candidate performance, conduct, or suitability
- Employment disputes, wrongful termination claims, or workplace issues
- Discrimination, harassment, or other employment law violations
- Candidate fraud, misrepresentation, or criminal conduct
- Background check results or verification outcomes
- Employment terms, compensation, or benefits disputes
Any disputes regarding Candidates or employment are solely between you and the Candidate.
12.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFERCPA, WEBCITE TECHNOLOGY SYSTEMS LTD, AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
Indirect Damages:
- Indirect, incidental, consequential, special, or punitive damages
- Lost profits, revenue, or business opportunities
- Business interruption or lost productivity
- Reputational harm
- Cost of replacement services
Direct Damages Cap:
- Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the greater of: (a) the total fees paid by you to ReferCPA in the 12 months preceding the claim, or (b) £1,000
Exceptions:
- This limitation does not apply to liability that cannot be excluded by law (fraud, gross negligence, willful misconduct, death or personal injury)
- This limitation does not affect your statutory rights under applicable law
12.4 No Liability for Third Parties
We are not liable for:
- Actions or omissions of Candidates, Referrers, or other Companies
- Third-party service providers (Stripe, cloud hosting, etc.)
- External websites linked from the Platform
- Data breaches caused by your failure to maintain security
- Your violation of employment laws or data protection laws
13. Indemnification
You agree to indemnify, defend, and hold harmless ReferCPA, Webcite Technology Systems Ltd, and our officers, directors, employees, agents, affiliates, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:
- Your violation of these Terms
- Your violation of any law, regulation, or third-party rights (employment laws, data protection laws, anti-discrimination laws, etc.)
- Your job postings or company information
- Your interactions with Candidates or Referrers
- Employment disputes with Candidates (wrongful termination, discrimination, harassment, wage and hour claims, etc.)
- Your misuse of Candidate data or privacy violations
- Infringement of intellectual property rights
- Your fraud, negligence, or willful misconduct
- Your failure to pay fees or invoices
Defense and Settlement: We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense. You may not settle any claim without our prior written consent.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
14.2 Informal Resolution
Before filing any formal dispute, you agree to contact us at hello@refercpa.com with a detailed description of the dispute and attempt to resolve it informally for at least 30 days.
14.3 Arbitration Agreement
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform (except small claims court matters under £10,000 and requests for injunctive relief) shall be resolved by binding arbitration administered under the Arbitration Act 1996 and the rules of the London Court of International Arbitration (LCIA).
Location and Language: Arbitration shall be conducted in London, England, in English, before a single arbitrator.
Class Action Waiver: You agree to arbitrate disputes on an individual basis only. You waive any right to participate in class actions, collective proceedings, or representative actions.
Costs: Each party shall bear its own legal costs and expenses. The arbitrator's fees and LCIA administrative fees shall be split equally between the parties, unless the arbitrator determines otherwise based on the merits.
Opt-Out: You may opt out of this arbitration agreement by sending written notice to hello@refercpa.com within 30 days of creating your account, stating "I opt out of the arbitration agreement." If you opt out, disputes shall be resolved exclusively in the courts of England and Wales.
Enforceability: If any portion of this arbitration agreement is found unenforceable, the remainder shall remain in effect, except that if the class action waiver is found unenforceable, this entire arbitration agreement shall be void.
14.4 Jurisdiction and Venue
If arbitration does not apply (due to opt-out or exceptions), you consent to the exclusive jurisdiction and venue of the courts of England and Wales for any disputes.
14.5 Time Limitation
You must bring any claim arising from these Terms or your use of the Platform within one (1) year of the claim arising, or the claim is permanently barred.
15. Term and Termination
15.1 Term
These Terms commence when you create an account and continue until terminated by you or ReferCPA.
15.2 Termination by You
You may terminate your account at any time by:
- Using the account deletion function in account settings
- Emailing hello@refercpa.com with "Delete Company Account Request"
Effect of Termination:
- Active job postings will be removed immediately
- You remain responsible for payment of fees for hires that occurred before termination
- Pending invoices remain due and payable
- Replacement guarantee remains in effect for hires made before termination
- Your data will be retained as described in the Privacy Policy (typically 5 years for legal compliance)
No Refunds: Termination does not entitle you to refunds of fees paid, except as provided in Section 6 (Option A refund provisions).
15.3 Termination by ReferCPA
We may suspend or terminate your account immediately, without notice, if:
- You violate these Terms
- You fail to pay invoices within 60 days of due date
- You provide false or fraudulent information
- You engage in prohibited activities
- Your account is inactive for 2+ years
- We cease operations or discontinue the Platform
- Required by law or court order
Effect of Termination:
- Immediate loss of Platform access
- Active job postings removed
- Pending invoices immediately due and payable
- Forfeiture of refunds or replacement guarantees (if termination for cause)
- Continued application of Sections 9 (Prohibited Activities), 10 (Intellectual Property), 12 (Disclaimers), 13 (Indemnification), 14 (Dispute Resolution), and 16 (General Provisions)
15.4 Survival
Obligations that by their nature should survive termination shall survive, including payment obligations, indemnification, disclaimers, limitations of liability, and dispute resolution provisions.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReferCPA regarding the Platform and supersede all prior agreements, understandings, or representations.
16.2 Amendments
We may modify these Terms at any time by posting revised Terms on the Platform and updating the "Last Updated" date.
Material Changes: For material changes affecting your rights or payment obligations, we will provide at least 30 days' notice via email and/or prominent Platform notice.
Acceptance: Continued use of the Platform after changes become effective constitutes acceptance. If you object to changes, you must terminate your account before the effective date (remaining responsible for obligations incurred before termination).
16.3 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect. Invalid provisions will be modified to the minimum extent necessary to make them valid and enforceable.
16.4 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future. Waivers must be in writing and signed by an authorized ReferCPA representative.
16.5 Assignment
You may not assign, transfer, or delegate these Terms or your account without our prior written consent. We may assign these Terms to any successor entity (merger, acquisition, asset sale) without your consent, provided the successor assumes all obligations under these Terms.
16.6 Force Majeure
We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet/telecommunications failures.
16.7 Relationship of Parties
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and ReferCPA. You are an independent customer of the Platform.
16.8 Third-Party Beneficiaries
These Terms do not confer any third-party beneficiary rights. Only you and ReferCPA may enforce these Terms.
16.9 Notices
All notices under these Terms must be in writing and sent to:

Notices are deemed received when sent via email (if during business hours) or the next business day (if sent after hours).
16.10 Language
These Terms are provided in English. Translations may be provided for convenience, but the English version controls in case of conflicts or discrepancies.

You consent to receive communications from us electronically (email, Platform notifications, website postings). Electronic communications satisfy any legal requirement that communications be in writing.

1. Agreement to Terms
These Terms of Service for Referrers ("Terms") constitute a legally binding agreement between you ("Referrer," "you," or "your") and Webcite Technology Systems Ltd, trading as ReferCPA ("ReferCPA," "we," "us," or "our").
By creating a Referrer account, submitting referrals on the Platform at refercpa.com or app.refercpa.com, or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
Eligibility: You must be at least 18 years of age and a practicing or former accounting, audit, or tax professional with legitimate professional connections in the industry. By using the Platform, you represent and warrant that you meet these requirements.
2. The ReferCPA Platform
2.1 Service Description
ReferCPA is an AI-powered referral hiring platform connecting accounting, audit, and tax professionals with hiring firms through trusted peer referrals. As a Referrer, you can:
- Browse available job postings from accounting and CPA firms
- Identify roles suitable for professionals in your network
- Generate unique referral links for specific roles
- Share referral links with qualified candidates you know
- Track referral status and application progress through your dashboard
- Earn bounties (30% of placement fee) for successful placements
2.2 Referral Process
How Referrals Work:
- You browse job postings on the Platform
- You identify a role suitable for someone in your professional network
- You click "Refer" on the role to generate a unique referral link
- You share the referral link with the candidate via email, text, or other communication
- The candidate clicks your link, creates an account (or logs in), and applies to the role
- If the candidate is hired, you earn a bounty (30% of the placement fee paid by the Company)
Your Role: You are an independent referrer facilitating connections between candidates and companies. You are not:
- An employee or agent of ReferCPA
- A recruiter or staffing agency
- A party to any employment contract between the candidate and company
- Responsible for hiring decisions or employment outcomes
2.3 No Guarantee of Bounties
We do not guarantee that:
- Candidates you refer will apply to roles
- Referred candidates will be hired
- You will earn any specific amount in bounties
- Referral links will result in placements
Bounties depend on candidate qualifications, company hiring decisions, market conditions, and other factors beyond our control.
3. Account Registration and Profile
3.1 Account Creation
To use the Platform, you must create a Referrer account by providing:
- Full legal name
- Valid email address
- Secure password
- Professional credentials (current or former employer, job title, certifications)
- LinkedIn profile or professional verification
3.2 Professional Verification
You represent and warrant that you are or were a practicing accounting, audit, or tax professional with legitimate connections in the industry. We may verify your credentials by:
- Reviewing your LinkedIn profile
- Confirming employment history
- Verifying professional certifications (CPA, CA, ACCA, etc.)
- Requesting additional documentation
False Credentials: Providing false or misleading professional information may result in immediate account termination and forfeiture of all bounties.
3.3 Account Accuracy and Security
You are responsible for:
- Providing accurate and truthful information
- Updating your profile when circumstances change
- Maintaining confidentiality of your password
- All activities occurring under your account
- Notifying us immediately of unauthorized access (hello@refercpa.com)
Security Recommendations: Use a strong password, enable multi-factor authentication, and do not share your login credentials.
4. Making Referrals
4.1 Referral Requirements
When making referrals, you must:
- Have a genuine professional or personal relationship with the candidate
- Believe the candidate is qualified and suitable for the role
- Obtain the candidate's consent before sharing their contact information (if applicable)
- Provide honest and accurate endorsements
4.2 Referral Link Generation and Sharing
Unique Referral Links: When you click "Refer" on a role, we generate a unique tracking link tied to your account and that specific role.
How to Share:
- Copy the referral link and share it directly with the candidate via email, text, WhatsApp, LinkedIn message, or other communication
- Do not post referral links publicly on social media, job boards, or forums (this may result in unqualified candidates and link abuse)
- Share links only with candidates you genuinely know and believe are qualified
Link Validity: Referral links remain valid as long as the job posting is active (typically 90 days or until the role is filled).
4.3 Candidate Consent and Relationship Disclosure
When you refer a candidate:
- You confirm that you have a genuine relationship with the candidate
- You confirm that you have a relationship with the candidate (e.g., "former colleague at Deloitte," "university classmate," "professional acquaintance")
- We may randomly as you to explain your relationship with the candidate
Honesty Required: Your relationship and endorsement must be truthful. Misrepresenting your relationship or providing false information may result in account termination and forfeiture of bounties.
Self-Referrals:
- Refer yourself to roles you believe fits you background and experience. If successful, you will be entitled to the bounty
4.4 Prohibited Referral Practices
You may not:
Fraudulent Referrals:
- Refer candidates you do not know or have no genuine relationship with
- Collude with candidates to fabricate referrals for bounty purposes
- Refer candidates who have no intention of accepting employment (to generate fraudulent bounties)
- Refer unqualified candidates you know are unsuitable for the role
Spam and Abuse:
- Mass-share referral links to unqualified recipients
- Post referral links publicly on job boards, social media, or forums
- Use bots or automated tools to generate referrals
- Harass or spam candidates with unsolicited referral links
Conflicts of Interest:
- Refer candidates to roles where you have an undisclosed financial interest in the hiring company
- Accept payments from candidates in exchange for referrals
- Demand or coerce candidates to use your referral link
Consequences: Violations result in immediate account termination, forfeiture of all pending and future bounties, and potential legal action.
5. Bounty Payments
5.1 Bounty Structure
You earn a bounty equal to 30% of the placement fee paid by the Company when a candidate you referred is successfully hired.
5.2 Successful Placement Definition
A "successful placement" occurs when:
- A candidate you referred applies to a role using your unique referral link, which result in them being hired, and the commence employment.
Attribution: The referral is attributed to you if the candidate used your unique referral link to apply, even if they also heard about the role through other channels.
5.3 Payment Processing and Timing
Payment Timing:
- Bounties are paid 30 days after the candidate's start date to account for the replacement guarantee period
- Payment processed via Stripe to your designated payment method
Payment Methods:
- Bank transfer (ACH, BACS, wire transfer)
- PayPal (if available in your jurisdiction)
- Other methods as offered by ReferCPA
Payment Information Required:
- Full legal name (must match tax documents)
- Bank account details or PayPal email
- Tax information (see Section 5.4)
5.4 Tax Reporting and Compliance
Tax Obligations: You are responsible for reporting bounty income and paying applicable taxes in your jurisdiction.
Tax Information Required:
- UK Referrers: National Insurance Number, UTR (if self-employed)
- US Referrers: Social Security Number (SSN) or Employer Identification Number (EIN); IRS Form W-9
- Canadian Referrers: Social Insurance Number (SIN) or Business Number
- Other Jurisdictions: Equivalent tax identification as required by local law
Tax Reporting:
- UK: We may issue tax summaries for your self-assessment
- US: We issue IRS Form 1099-NEC if you earn $600+ in a calendar year
- Canada: We issue T4A slips if you earn CAD $500+ in a calendar year
- Other: Tax reporting as required by local law
Independent Contractor Status: You are an independent contractor, not an employee. We do not withhold taxes from your bounties. You are responsible for all tax obligations.
5.5 Minimum Payment Threshold
Bounties are paid regardless of the amount. There is no minimum payment threshold.
Exception: If your account is closed we will pay the remaining balance within 60 days of closure (subject to £10 minimum).
5.6 Bounty Forfeiture
You forfeit bounties if:
- The referral was fraudulent or violated these Terms
- The candidate was hired but did not actually start employment or in employment for 30 days minimum
- The Company did not pay the placement fee due to fraud or Terms violations
- Your account is terminated for cause
- The candidate leaves within 30 days and the Company receives a full refund
- The candidate leaves within 30 days and ReferCPA has to replace.
Replacement Guarantee: If a candidate leaves within 3 months and the Company hires a replacement candidate, you do not earn an additional bounty for the replacement (original bounty already paid).
6. Referrer Conduct and Prohibited Activities
6.1 Professional Conduct
You agree to:
- Conduct yourself professionally in all interactions with candidates, companies, and ReferCPA
- Provide honest and accurate referrals
- Respect candidate privacy and consent
- Comply with all applicable laws and regulations
6.2 Prohibited Activities
You may not:
Fraud and Misrepresentation:
- Provide false information about your credentials, relationships, or endorsements
- Create fake referrals or collude with candidates for fraudulent bounties
- Misrepresent candidate qualifications or suitability
Spam and Harassment:
- Mass-share referral links to unqualified recipients
- Harass candidates with unsolicited referral requests
- Post referral links publicly on job boards or social media
- Use bots or automated tools
Conflicts and Improper Payments:
- Demand payment from candidates in exchange for referrals
- Accept kickbacks or undisclosed payments related to referrals
- Refer candidates to roles where you have undisclosed financial interests
Platform Abuse:
- Create multiple accounts to circumvent rules
- Attempt to manipulate or game the referral system
- Hack, breach, or compromise Platform security
- Scrape data or reverse engineer software
6.3 Consequences of Violations
Violations may result in:
- Warning and opportunity to cure
- Temporary account suspension
- Permanent account termination and ban from Platform
- Forfeiture of all pending and future bounties
- Legal action and pursuit of damages
- Reporting to professional licensing boards or law enforcement
7. Intellectual Property

- Your relationship with the candidate
- Your endorsement (if provided)
Your payment information and tax details are kept confidential and not shared with companies or candidates.

ReferCPA is not responsible for:
- Hiring decisions made by companies
- Candidate performance or suitability
- Employment disputes between candidates and companies
- Candidate misrepresentation of qualifications
- Company failure to honour employment terms
9.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFERCPA, WEBCITE TECHNOLOGY SYSTEMS LTD, AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
Indirect Damages:
- Indirect, incidental, consequential, special, or punitive damages
- Lost profits, revenue, or bounty opportunities
- Reputational harm
Direct Damages Cap:
- Our total liability for any claims shall not exceed the greater of: (a) total bounties paid to you in the 12 months preceding the claim, or (b) £500
Exceptions:
- This limitation does not apply to liability that cannot be excluded by law (fraud, gross negligence, willful misconduct, death or personal injury)
10. Indemnification
You agree to indemnify, defend, and hold harmless ReferCPA, Webcite Technology Systems Ltd, and our officers, directors, employees, agents, affiliates, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:
- Your violation of these Terms
- Your violation of any law, regulation, or third-party rights
- Fraudulent or misleading referrals
- Misrepresentation of your credentials or relationships
- Your interactions with candidates or companies
- Infringement of intellectual property rights
- Your fraud, negligence, or willful misconduct
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
11.2 Informal Resolution
Before filing any formal dispute, you agree to contact us at hello@refercpa.com with a detailed description of the dispute and attempt to resolve it informally for at least 30 days.
11.3 Arbitration Agreement
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform (except small claims court matters under £10,000 and requests for injunctive relief) shall be resolved by binding arbitration administered under the Arbitration Act 1996 and the rules of the London Court of International Arbitration (LCIA).
Location and Language: Arbitration shall be conducted in London, England, in English, before a single arbitrator.
Class Action Waiver: You agree to arbitrate disputes on an individual basis only. You waive any right to participate in class actions, collective proceedings, or representative actions.
Costs: Each party shall bear its own legal costs and expenses. The arbitrator's fees and LCIA administrative fees shall be split equally between the parties, unless the arbitrator determines otherwise based on the merits.
Opt-Out: You may opt out of this arbitration agreement by sending written notice to hello@refercpa.com within 30 days of creating your account, stating "I opt out of the arbitration agreement." If you opt out, disputes shall be resolved exclusively in the courts of England and Wales.
Enforceability: If any portion of this arbitration agreement is found unenforceable, the remainder shall remain in effect, except that if the class action waiver is found unenforceable, this entire arbitration agreement shall be void.
11.4 Time Limitation
You must bring any claim arising from these Terms or your use of the Platform within one (1) year of the claim arising, or the claim is permanently barred.
12. Term and Termination
12.1 Term
These Terms commence when you create an account and continue until terminated by you or ReferCPA.
12.2 Termination by You
You may terminate your account at any time by:
- Using the account deletion function in account settings
- Emailing hello@refercpa.com with "Delete Referrer Account Request"
Effect of Termination:
- You will no longer be able to make new referrals
- Pending referrals (candidates not yet hired) remain tracked
- You remain eligible for bounties from referrals made before termination if candidates are hired within 12 months of termination
- Unpaid bounties above £10 will be paid within 60 days of termination
- Your data will be retained as described in the Privacy Policy (typically 7 years for tax compliance)
12.3 Termination by ReferCPA
We may suspend or terminate your account immediately, without notice, if:
- You violate these Terms
- You provide false or fraudulent information
- You engage in prohibited activities (fraud, spam, abuse)
- Your account is inactive for 2+ years
- We cease operations or discontinue the Platform
- Required by law or court order
Effect of Termination for Cause:
- Immediate loss of Platform access
- Forfeiture of all pending and future bounties (including referrals not yet hired)
- No payment of unpaid bounties
- Continued application of Sections 6 (Prohibited Activities), 7 (Intellectual Property), 9 (Disclaimers), 10 (Indemnification), 11 (Dispute Resolution), and 13 (General Provisions)
Effect of Termination Without Cause:
- You remain eligible for bounties from referrals made before termination
- Unpaid bounties above £10 will be paid within 60 days
12.4 Survival
Provisions that by their nature should survive termination shall survive, including payment obligations for earned bounties (if termination without cause), tax reporting obligations, indemnification, disclaimers, limitations of liability, and dispute resolution provisions.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReferCPA regarding the Platform and supersede all prior agreements, understandings, or representations.
13.2 Amendments
We may modify these Terms at any time by posting revised Terms on the Platform and updating the "Last Updated" date.
Material Changes: For material changes affecting your rights or bounty structure, we will provide at least 30 days' notice via email and/or prominent Platform notice.
Acceptance: Continued use of the Platform after changes become effective constitutes acceptance. If you object to changes, you must terminate your account before the effective date (remaining eligible for bounties from referrals made before termination).
13.3 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect. Invalid provisions will be modified to the minimum extent necessary to make them valid and enforceable.
13.4 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future. Waivers must be in writing and signed by an authorized ReferCPA representative.
13.5 Assignment
You may not assign, transfer, or delegate these Terms or your account without our prior written consent. We may assign these Terms to any successor entity (merger, acquisition, asset sale) without your consent, provided the successor assumes all obligations under these Terms.
13.6 Independent Contractor
You are an independent contractor, not an employee, agent, or partner of ReferCPA. You are not entitled to employee benefits, and we do not withhold taxes from your bounties. You are responsible for all tax obligations and business expenses.
13.7 Relationship of Parties
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and ReferCPA.
13.8 Third-Party Beneficiaries
These Terms do not confer any third-party beneficiary rights. Only you and ReferCPA may enforce these Terms.

All notices under these Terms must be in writing and sent to:

Notices are deemed received when sent via email (if during business hours) or the next business day (if sent after hours).

You consent to receive communications from us electronically (email, Platform notifications, website postings). Electronic communications satisfy any legal requirement that communications be in writing.

15. Acknowledgment and Acceptance
By clicking "I Agree," creating an account, or using the Platform, you acknowledge that:
- You have read and understood these Terms
- You agree to be bound by these Terms and our Privacy Policy
- You meet the eligibility requirements (18+ years old, accounting/audit/tax professional)
- You are an independent contractor, not an employee
- You understand the referral process (generate unique links and share with qualified candidates)
- You understand the bounty structure (30% of placement fee, paid 30 days after candidate start date)

- You understand that bounties are not guaranteed and depend on successful placements
